Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Hedgehog Software LLC, a Wyoming limited liability company doing business as TransferPing ("TransferPing," "we," "us," or "our") governing your access to and use of the TransferPing website, web application, and related services (the "Service").

By creating an account, starting a free or paid subscription flow, connecting a notification channel, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Account authentication is provided through Clerk. You are responsible for maintaining the security of your email inbox, OAuth credentials, and any connected Telegram or Discord destinations. You must provide accurate registration information and promptly update it. You are responsible for all activity under your account.

We may refuse registration, suspend access, or terminate accounts that appear fraudulent, abusive, or in violation of these Terms.

TransferPing provides informational football (soccer) transfer alerts and related browsing experiences. In general, the Service:

• Monitors selected publicly available sources (including journalists and reporters on X/Twitter);
• Applies filters based on clubs, journalists/sources, and other preferences you configure;
• Delivers alerts to notification channels you connect, such as Telegram and, where included in your plan, Discord via a webhook URL you supply; and
• Publishes public informational pages (including club, journalist, and league transfer pages) for browsing and discovery.

Features, plan limits (for example number of clubs, sources, daily alerts, or Discord availability), and supported channels may change over time. Current plan details are described on our pricing page and in-product billing screens.

ALL ALERTS, SUMMARIES, FEEDS, AND PUBLIC PAGES ARE PROVIDED FOR GENERAL INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. TransferPing is not a news wire of record, not a licensed journalist organization for your reliance decisions, and not affiliated with X/Twitter, Telegram, Discord, FIFA, UEFA, any club, league, or any journalist unless expressly stated.

We do not guarantee that every public rumor, report, or update will be detected, correctly classified, attributed, summarized, delivered, or delivered without delay. Sources may delete, edit, or restrict posts; third-party platforms may rate-limit or block access; and our filters, models, or pipelines may miss or misinterpret content. You should independently verify material information before making financial, betting, journalistic, employment, or other decisions.

NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, LEGAL, BETTING, OR PROFESSIONAL ADVICE.

Certain features require a paid subscription (for example Pro or Unlimited). Prices, included entitlements, and billing intervals are presented at checkout and in your account billing area. Payments are processed by Stripe. By initiating a paid plan, you authorize Stripe to charge the payment method you provide on a recurring basis until you cancel.

Unless stated otherwise at purchase, subscriptions renew automatically at the then-current rate for your plan. You can manage billing, invoices, payment methods, and cancellation through the Stripe Customer Portal linked from your TransferPing account, or as otherwise made available in the dashboard.

14-day money-back guarantee. If you are not satisfied with your first paid subscription purchase, we will refund it in full if you request the refund within fourteen (14) days of the initial charge. To request a refund, email support@transferping.com from the email address associated with your account (or include that address in your message); refunds are issued to the original payment method via Stripe, typically within 5–10 business days depending on your bank. The guarantee applies once per customer and to the first charge of a subscription, not to renewal charges — though if you believe a renewal was charged in error, contact us promptly and we will review it in good faith.

Cancellation generally stops future renewal charges; access typically continues through the end of the then- current paid period unless otherwise required by law or stated at cancellation. Apart from the 14-day money-back guarantee above, fees already paid are non-refundable except where required by applicable consumer law or expressly offered by us in writing. For consumers in the European Union or United Kingdom, nothing in these Terms limits your statutory withdrawal or other consumer rights. We may change prices or plan packaging with reasonable notice; continued use after the effective date of a change constitutes acceptance where permitted by law.

Taxes may apply based on your location and will be collected where required. Failed payments may result in suspension of paid features until resolved.

If you connect Telegram or Discord, you instruct us to send alert content to those destinations. You represent that you have the right to connect those channels and that doing so does not violate Telegram, Discord, or any workspace/server rules. You are solely responsible for webhook URLs you submit; anyone with the webhook URL may be able to post to that destination, so treat it as a secret.

Third-party platform outages, policy changes, bot blocks, or misconfiguration of your channels may prevent delivery. We are not liable for third-party platform failures.

You agree not to, and not to attempt to:

• Use the Service for unlawful, harmful, fraudulent, or deceptive purposes;
• Scrape, harvest, or systematically extract data from the Service except via documented public pages for ordinary browsing, or where we expressly permit;
• Interfere with, disrupt, overload, or circumvent security or access controls of the Service;
• Reverse engineer, except to the limited extent such restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties as a competing alert bureau without our prior written consent;
• Misrepresent alerts as exclusive insider information or as official club/league statements;
• Upload malware or abuse notification channels (including spam via Discord webhooks);
• Violate any applicable law, including intellectual property, privacy, or export laws; or
• Use automated means to create accounts or bypass plan limits in bad faith.

We may investigate violations and suspend or terminate access.

The Service, including software, design, trademarks, logos, and original compilation of interfaces, is owned by Hedgehog Software LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business informational use.

Public source content remains owned by its respective rights holders. Summaries and displays are provided under applicable fair use / quotation principles and platform terms to the extent they apply; they do not transfer ownership of underlying source material to you.

Feedback you provide may be used by us without obligation to you.

We strive for high availability but do not warrant uninterrupted, error-free, or timely operation. We may modify, suspend, or discontinue features (including monitored sources, plan limits, or channels) with or without notice, except where notice is required by law or by a paid subscription commitment then in effect.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ALERTS WILL BE COMPLETE, ACCURATE, CURRENT, OR DELIVERED WITHIN ANY PARTICULAR TIME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSFERPING (HEDGEHOG SOFTWARE LLC) AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRANSFERPING FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $50.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless TransferPing (Hedgehog Software LLC) and its affiliates, members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your connected notification channels, your violation of these Terms, or your violation of any third-party right or law.

You may stop using the Service at any time and may delete your account where that control is available in the dashboard. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, present a security risk, fail to pay fees due, or if we discontinue the Service.

Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except that mandatory consumer protections of your country of residence may still apply if you are a consumer.

The state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by applicable consumer law. Before filing a claim, you agree to attempt to resolve the dispute informally by contacting support@transferping.com and allowing at least thirty (30) days for us to respond.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TRANSFERPING EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. This paragraph does not apply where such waivers are prohibited by the law of your place of residence.

These Terms, together with the Privacy Policy and any plan-specific disclosures presented at checkout, constitute the entire agreement between you and Hedgehog Software LLC regarding the Service. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, internet or hosting failures, third-party platform actions, labor disputes, or governmental actions. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of assets. We may update these Terms by posting a revised version with an updated "Last updated" date. Material changes will take effect upon posting or as otherwise stated; continued use after the effective date constitutes acceptance where permitted by law.
